SkolaGigs Terms & Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE SERVICES OFFERED BY SKOLAKONNECT LTD ("SKOLAGIGS," "WE," "US," OR "OUR"). THESE TERMS SET FORTH THE LEGALLY BINDING TERMS AND CONDITIONS FOR YOUR USE OF THE WEBSITE AT GIGS.SKOLAKONNECT.COM AND ALL RELATED SITES, APPLICATIONS, AND SERVICES (COLLECTIVELY, THE "PLATFORM").

BY REGISTERING FOR, ACCESSING, BROWSING, OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE OUR PLATFORM.

1. ACCEPTANCE OF TERMS & ELIGIBILITY

1.1. Binding Agreement. These Terms of Service constitute a legally binding agreement between you ("User," "you," or "your") and SkolaKonnect Ltd.

1.2. Eligibility. To use the Platform, you must be at least 18 years of age and possess the legal authority to enter into a binding contract. By using the Platform, you represent and warrant that you are at least 18 years old and that you have the right, authority, and capacity to agree to and abide by these Terms. The Platform is not intended for individuals under the age of 18. If you are using the Platform on behalf of a company or other entity, you represent that you have the authority to bind such entity to these Terms.

2. USER ACCOUNTS AND RESPONSIBILITIES

2.1. Account Creation. You must register for an account to access certain features. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

2.2. Account Security. You are solely responsible for safeguarding your account password and for all activities that occur under your account. You must notify SkolaGigs immediately of any unauthorized use of your account.

2.3. Account Termination. We reserve the right to suspend or terminate your account and refuse any future use of the Platform if we suspect that any information you provide is inaccurate, fraudulent, or in violation of these Terms.

3. NATURE OF THE PLATFORM AND DISCLAIMERS

3.1. Marketplace Only. SkolaGigs is a marketplace that facilitates connections between Clients ("Clients") and Student Freelancers ("Freelancers"). SkolaGigs is not an employer, agent, or partner of any Freelancer or Client.

3.2. No Warranty or Endorsement.

No Vetting. SkolaGigs does not vet, endorse, or guarantee the accuracy, completeness, or quality of any User-generated content, including Freelancer profiles, project proposals, or Client project briefs. Users are solely responsible for evaluating other Users.
No Outcome Guarantee. SkolaGigs makes no warranties regarding the success, quality, or outcome of any project. We do not guarantee that Freelancers will be hired or that Clients will find suitable Freelancers. All freelance services are provided by Users at their own risk.
"As Is" Basis. The Platform is provided on an "as is" and "as available" basis without any warranties of any kind.

3.3. Modification of Service. We reserve the right to modify, suspend, or discontinue the Platform (or any part thereof) at any time, with or without notice.

4. FINANCIAL TERMS

4.1. Fees. SkolaGigs charges a service fee on payments processed through the Platform. The specific fee structure is detailed on the Platform and is incorporated into these Terms by reference. You are responsible for paying all applicable taxes.

4.2. Payment Processing. All financial transactions are processed by third-party payment gateways (e.g., Flutterwave). You agree to abide by their terms and conditions. SkolaGigs is not liable for any issues arising from third-party payment processing.

5. USER CONDUCT AND PROHIBITED ACTIVITIES

You agree not to engage in any of the following prohibited activities:

5.1. Illegal and Fraudulent Activities: Posting or promoting illegal content; engaging in fraud, money laundering, or phishing; impersonating any person or entity.

5.2. Harmful and Abusive Content: Uploading content that is defamatory, obscene, pornographic, sexually explicit, promotes hate speech, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.

5.3. Spam and Circumvention: Sending unsolicited messages (spam); attempting to circumvent SkolaGigs's payment system by soliciting or making payments outside the Platform; creating multiple accounts to manipulate the marketplace.

5.4. Intellectual Property (IP) Infringement: Infringing on any third party's intellectual property rights, including copyrights, trademarks, patents, or trade secrets.

5.5. Security Interference: Interfering with or disrupting the integrity or performance of the Platform or the data contained therein.

Violation of any of these prohibitions constitutes a material breach of these Terms and will result in immediate account termination and potential legal action.

6. INTELLECTUAL PROPERTY

6.1. Platform IP. SkolaGigs owns all rights, title, and interest in the Platform and its content, including all intellectual property rights.

6.2. User Content. By posting content on the Platform, you grant SkolaGigs a worldwide, non-exclusive, royalty-free license to use, display, and reproduce such content to operate the Platform. The Freelancer grants the Client a license to use the delivered work as agreed upon in the project scope.

7. LIMITATION OF LIABILITY AND INDEMNIFICATION

7.1. LIMITATION OF LIABILITY. TO THE FULLEST EXTENT PERMITTED BY LAW, SKOLAGIGS (AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU HAVE PAID TO US IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

7.2. Indemnification. You agree to indemnify, defend, and hold harmless SkolaGigs from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (i) your use of the Platform; (ii) your violation of these Terms; (iii) your violation of any third-party right; or (iv) any dispute between you and another User.

8. GOVERNING LAW AND DISPUTE RESOLUTION

8.1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

8.2. Dispute Resolution. Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiations. If unresolved, the dispute shall be submitted to mediation. If mediation fails, the dispute shall be subject to the exclusive jurisdiction of the courts located in Lagos State, Nigeria.

9. GENERAL PROVISIONS

9.1. Entire Agreement. These Terms constitute the entire agreement between you and SkolaGigs.

9.2. Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

9.3. Changes to Terms. We reserve the right to modify these Terms at any time. We will provide notice of changes by posting the updated Terms on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
